Haanee Khan joined IKM in 2015 as a Senior Associate in the Commercial and Corporate  practice. Prior to joining IKM, he served as Legal Counsel to the national airline, Kenya Airways Limited and its subsidiaries, as Associate at Coulson Harney Advocates, and worked in the property division of the UK law firm O’Neill Patient Solitors LLP.

Haanee currently represents national and international corporate aircraft operators and private individuals in aviation matters involving regulatory matters, acquisitions, financing and chartering of corporate aircraft, engines and parts. He is also working as a stakeholder involved in the review of draft legislation set to reform the legal framework in the Kenyan aviation industry.

He is a regular speaker at various 'Continuing Professional Development' (CPD) events organised by the Law Society of Kenya in regard to Aviation matters, Most recently he was a speaker at the Law Society of Kenya Aviation seminar, Nairobi, Kenya (June 2014),the 4th Africa Aviation Law Conference 2014, Nairobi, Kenya (December 2014).the law Society of Kenya, seminar on Transport, Communication and Technology (Opportunities in Aviation Law and Practice), (April 2016) and the 6th Africa Aviation Law Conference 2016, Nairobi, Kenya.

Haanee is a member of the Corporate Practiceteam at IKM, his expertise therefore extends togeneral corporate matters such as Cross-Border Mergers & Acquisitions and Private Equity matters in various industry sectors.

Key experience

  • Advised on the set-up of an East African private equity fund with a maximum offering of US$100 million.
  • Advised on various development and construction joint venture projects in Kenya.
  • Consulted on various aspects (including the merger structure/impact and drafted joint venture heads of terms) of an energy deal valued at approximately US$71 million between an Indian steel company and a Kenyan energy company - the latter being the holder of a concession awarded by the Geothermal Development Company Limited of Kenya to build-own-operate a 33 MW power generation plant for a period of 25 years in Kenya.
  • Advised on an indirect acquisition of a controlling interest in Weetabix East Africa Limited.
  • Advised Hitachi on its acquisition of Shoden Data Systems in Africa.
  • Advised an international developer, manufacturer and marketer of veterinary pharmaceuticals and animal health care products in relation to its acquisition of a Kenyan entity in the same industry. Advisory support extended to competition law issues relating to the transaction.
  • Advised Kenya Petroleum Refineries Limited on its financial services mandate agreement with Standard Chartered Bank, UK for the modernisation and expansion of its Mombasa refinery valued at approximately US$1,3 billion.
  • Advised the Poverty Eradication Network (PEN) on the restructuring of its group and the incorporation of its management consultancy arm.
  • Advised W.E.C. Lines B.V. (Europe) on various restructuring matters in relation to the introduction on foreign ownership restrictions within the maritime legislation framework in Kenya.
  • Currently represents low cost carrier Fastjet, advising the airline on corporate and Kenyan regulatory matters.
  • In the capacity of legal counsel at national airline carrier, Kenya Airways, Haanee was involved on the following significant transactions:
    • Sale and Leaseback of Boeing 787-8 Aircraft: Legal counsel and member of the cross-functional Sale and Leaseback Evaluation Team pertaining to Boeing 787-8 Aircraft delivered in April 2015.
    • Attended negotiations and obtained competition exemptions in Kenya, Tanzania and Zambia on behalf of Kenya Airways in relation to its expanded scope joint venture with KLM (2013/14).
  • Acquisition of 12 Embraer E-190 Aircraft between 2012/2013.
  • Advised Kenya Airways Limited on its exemption applications relating to the expanded joint venture arrangements entered into between Kenya Airways Limited and Koninklijke Luchtvaart Maatschappij N.V (KLM Royal Dutch Group’s). The transaction also involved obtaining clearances in various jurisdictions in Africa.
  • Advising Aircraft Leasing Services (ALS) in Kenya on the acquisition of three (3) aircraft
  • Represented Oman Air (S.A.O.C.), on various aspects relating to the sublease of Aircraft and a Slot Exchange Agreement with Kenya Airways Limited;
